1. Payment Terms
  • a. We analyze the project and provide estimates along with costs. The fees are exclusive of VAT and any other applicable taxes.
  • b. Payments for period-based pricing (hourly, weekly, or monthly) must be made in advance as per the booking requirement or proposal specifications.
  • c. Payments for fixed-price projects must be made in accordance with the agreed-upon proposal or contract milestones.
2. Resources and Timing
  • a. NDigital provides resources as per the project requirement along with other technical support staff like Project Manager and Team Leader, based on the agreement.
  • b. NDigital’s development center is located in Saudi Arabia, operating from Sunday to Thursday, 8:00 AM to 5:00 PM (GMT +3).
  • c. All public holidays will be notified in advance, and invoices will be adjusted accordingly based on the number of holidays.
3. Service Quality

We are committed to delivering the best service to our clients within the agreed-upon timelines.

4. Operations
  • a. We aim to provide the best solutions to our clients with the best attitude, following an agile methodology. We keep our clients updated on their project progress daily.
  • b. We update our clients about their projects via phone, email, SMS, Slack, Skype, and/or video calls, based on the methods most suitable for each client.
  • c. We guarantee high-quality and cost-effective services.
5. Expectations from Clients
  • a. We request clear instructions so that we can set accurate timelines and costs.
  • b. Once we allocate your project to the applicable developer(s), please provide all project instructions to the assigned Project Manager or the developer, as outlined in our communication agreement.
  • c. Track daily updates and provide timely feedback to keep the project on target.
  • d. If you are unable to provide timely feedback, please inform our team in advance so they can plan around your schedule limitations accordingly.
6. What We Avoid Doing
  • a. Unless specified, we will not work directly on your live servers.
  • b. We do not outsource your work to any third party developers as we sign an NDA to keep things confidential between you and the company.
  • c. We do not contact your end clients unless approved by you.
7. Service Acceptance
  • a. We keep our clients up-to-date with progress and manage tasks effectively. We request that you always test the project on our development server to prevent incorrect data from being added to your production environment. Any delays in feedback may impact the project timeline.
  • b. Once the project is completed and agreed payments have been made, we will transfer the files or code to the designated production server.
  • c. After project acceptance and the conclusion of the free bug-fixing period, NDigital will not be responsible for additional changes; however, as a gesture of goodwill, we will offer an expedited solution at an extra cost.
  • d. It is highly recommended that you maintain an ongoing backup of the work on your production server unless otherwise agreed upon in writing. If you have a Maintenance and Monitoring agreement with us, backup responsibilities will be defined in that agreement.
8. Changes to Privacy Policy
  • We reserve the right to modify our Privacy Policy from time to time. We recommend that you regularly consult this Privacy Policy. You agree that all the Collected Information (whether collected before or after the new policy became effective) will be governed by the newest Privacy Policy then in effect.
  • If you do not agree to the new changes in our Privacy Policy, you should contact us in writing and specifically request that we return and/or destroy all copies of all or part of your Collected Information in our possession.
9. Invoices
  • a. Invoices are raised on an hourly, weekly, monthly, fixed price, or milestone basis based on our agreement with you and in the agreed-upon currency.
  • b. Invoices are calculated at standard NDigital rates.
  • c. Daily invoices are calculated based on eight (8) hours a day.
  • d. Weekly invoices are calculated based on five (5) days a week.
  • e. Monthly invoices are calculated based on the number of working days in the calendar month.
  • f. Payments must be made in advance for the invoices, or we will put your project on a temporary hold.
  • g. Invoices are issued before we start the work and need to be paid for the work to commence.
10. Termination of Services
  • a. NDigital reserves the right to terminate your services at any time without liability if:
  • You fail to pay the invoice within 5 days once it has been issued.
  • You breach any of the terms and conditions stated.
  • b. The project becomes undeliverable, except if it is proven to be the fault of NDigital.
11. Warranty Period
  • a. We provide a 30-day warranty period once the code has been deployed to your production server.
  • b. During the warranty period, you can send us a written notice identifying any errors in the code, system, or program we have written for you.
  • c. NDigital reserves the right to compare the code against their backup on a demo or local machine to verify if it is the code written by NDigital.
  • d. If an error is found, we will rectify it for free.
  • e. We will not be responsible if:
  • The error was not produced by NDigital.
  • The error was not notified to NDigital in written form within the warranty period.
  • Any changes have been made to the code or if there has been any involvement of any third-party development team after the deployment of the code.
  • f. We do not guarantee any commercial profitability or success of the code/system/program written by us.
12. Things You Should Not Do
  • We request that you not engage in any of the following activities during our working relationship or within 1 year of the end of the agreement:
  • Try to engage or work with our clients directly.
  • Directly hire our developers to work with you.
13. In Case of Dispute
  • The contract between NDigital and the Customer shall be governed by and construed in accordance with the laws of Saudi Arabia, and any dispute arising shall be subject to the exclusive jurisdiction of the courts of Saudi Arabia.
